The following are some aspects of the incorporation documents which are usually queried. To avoid delay ensure that:
ALL DOCUMENTS
- The company name matches that which was approved.
- Dates are inserted where required.
- Persons have signed and names are inserted below signatures.
- Documents should be headed “Companies Act of Saint Lucia” or Companies Act Cap 13.01 of the Revised Laws, 2001” and not “Companies Act 1996/ No. 19 of 1996”.
- Pages bearing only signatures are not accepted.
ARTICLES OF INCORPORATION
Item 4:
- If the minimum and maximum number of directors is stated in words and figures ensure that the words and figures correspond with each other.
- Ensure that the number (or minimum and maximum) of directors is in keeping with the number of directors appointed on the Notice of Directors.
- For non-profit companies ensure that there is a minimum of three (3) directors.
Item 7:
- The residential address and not postal address of the Incorporator(s) is required.

Item 4: If this does not apply do not leave blank, ensure to state Not Applicable or N/A.
NOTICE OF DIRECTORS
Item 3:
- Leave date and table blank as directors take up appointment on the date of incorporation. Only the table in item 5 must be completed.
Item 5:
- Ensure that the number of directors is in keeping with the number of directors stated in item 5 of the Articles of Incorporation.
STATUTORY DECLARATION
- Any reference to the Companies Act should be cited as “Cap 13.01 of the Revised Laws, 2001” and not No. 19 of 1996.
- The Statutory Declarations Ordinance is now the Statutory Declarations Act Cap. 2.14 of the Revised Laws, 2001 and should be cited as such wherever it is mentioned.
- Ensure declarant has signed; date, signature and seal of Notary Royal/Justice of the Peace are obtained.
